Terms of Service
These Terms of Service govern your access to and use of ITCloud LLC services, including cloud hosting, cybersecurity, software development, DevOps, and related professional services. By using our services you agree to these terms, including instant digital delivery for eligible products billed in CAD through Stripe Canada. If you are contracting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Instant digital delivery and billing
Digital services and software provisioning are delivered electronically and activated immediately upon successful payment, subject to verification and fraud checks. All Canadian transactions are billed in Canadian dollars (CAD). We use Stripe Canada for payment processing; sensitive card information is handled exclusively by Stripe. Customers are responsible for keeping billing information current and for any taxes applicable to their jurisdiction.
30-day Canadian IT service guarantees
For Canadian customers, we provide a 30-day service guarantee for new accounts and specific professional engagements: if you identify a material failure to deliver core contracted services within 30 days of provisioning, notify [email protected] to initiate remediation. Remediation may include service re-provisioning, configuration assistance, or a refund/credit at our discretion where remedial work cannot resolve the issue. Guarantees do not apply to issues caused by customer-provided integrations, third-party downtime, or misuse.
Service Level Agreement — 99.9% uptime
Our standard SLA target is 99.9% monthly uptime for core hosting services. Uptime is measured excluding scheduled maintenance and force majeure events. If we fail to meet SLA targets, eligible customers may request service credits as set out in the SLA schedule: credit amounts are prorated and apply only to direct service fees, not ancillary charges. To request credit, customers must open a support ticket within thirty days of the outage with incident details. Credits are our sole and exclusive remedy for SLA breaches.
Refunds, cancellations, and modifications
All digital deliveries are non-physical. Requests for refunds or cancellations should be submitted to [email protected]. Refund eligibility is assessed case-by-case. For subscription services, cancellations prevent future billing but do not automatically entitle refunds for prior billing periods unless otherwise agreed. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
Data, security and payments
We handle customer data following the practices described in our Privacy Policy. Payments are processed via Stripe Canada and invoicing is in CAD. We maintain ISO 27001 aligned security controls, encryption in transit and at rest, and access controls to protect account credentials and API keys. Customers must keep their credentials secure and promptly report unauthorized access.
Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Uzbekistan except where mandatory consumer protection laws of Canada provide otherwise for Canadian consumers. For disputes with Canadian consumers, we will make reasonable efforts to resolve issues by negotiation and, if necessary, through arbitration in Canada under the applicable arbitration rules selected by the parties. Nothing in these Terms limits your rights under mandatory consumer protection laws.
Competition and advertising compliance
All marketing and service claims made by ITCloud are truthful and supported. We comply with the Canadian Competition Act and avoid misleading or unsubstantiated claims such as deceptive performance promises. When we refer to "enterprise-grade cloud" or similar terms, these descriptions reflect our technical specifications, security practices, and contractual SLAs that support business requirements.
Quebec French language notice
Residents of Quebec have the right to receive contractual information and communications in French. Vous pouvez obtenir ces conditions en français en envoyant un courriel à [email protected]. We will provide contractual language in French upon request for Quebec consumers.
Changes to terms
We may modify these Terms to reflect changes in products, services, legal requirements, or business practices. We will post updates and revise the "Last updated" date. Material changes affecting existing Canadian customers will be communicated in advance where required by law.
